In no event shall our total liability to you for all damages exceed the amount you paid us in the twelve (12) months preceding the claim, or $100 USD if you have not paid anything.

Upon termination, your right to use the service will cease immediately. 13. Governing Law and Jurisdiction

These terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved exclusively in the state or federal courts located in California, and you consent to the personal jurisdiction of such courts.

14. Dispute Resolution

To the fullest extent permitted by law, any dispute arising from these terms or your use of the service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that you may pursue claims in small claims court if eligible. Class actions and class arbitration are waived.

15. Severability

If any provision of these terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving its original intent.

16. Waiver

No waiver of any term of these terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to enforce any right or provision of these terms shall not be considered a waiver of such right or provision.

17. Entire Agreement

These terms, together with our Privacy Policy, constitute the entire agreement between you and EclatSEO regarding your use of the service and supersede all prior or contemporaneous agreements, understandings, or representations, whether written or oral.
